Effective Date: 18 October 2026
Last Updated: 18 October 2026
1. Introduction
Welcome to Emeroject (“Emeroject,” “we,” “us” or “our”). These Terms and Conditions govern your access to and use of our website, services and digital products.
Emeroject provides digital services, including website design and development, WordPress development, domain registration, web hosting, search engine optimisation (SEO), branding, graphic design, product mockups and other related digital solutions.
By accessing our website, submitting an enquiry, purchasing a service or entering into a service agreement with us, you agree to these Terms and Conditions where applicable.
If you do not agree with these terms, please discontinue use of our website and services.
2. Eligibility and Use of Our Website
You may use our website for lawful purposes only. You agree not to:
Use our website in a way that violates applicable laws or regulations.
Attempt to gain unauthorised access to our systems, servers or accounts.
Introduce malware, malicious code or other harmful material.
Interfere with the security, availability or proper functioning of our website.
Copy, reproduce or commercially exploit our website content without permission, except where permitted by law.
We reserve the right to restrict access to our website where necessary to protect our systems, users or legitimate business interests.
3. Our Services
Emeroject may provide the following services:
Website design and development.
WordPress website development and maintenance.
Domain name registration and renewal assistance.
Web hosting and related services.
Search engine optimisation and website performance improvements.
Branding, logo design and graphic design.
Marketing materials, product mockups and other creative services.
Website migration, technical support and related digital solutions.
The exact scope, deliverables, timeline, fees and applicable conditions for a particular project will be communicated in a quotation, proposal, invoice or separate service agreement.
Not every service is available under every package. We may update, modify or discontinue services from time to time, subject to existing contractual commitments.
4. Enquiries, Quotations and Project Approval
Submitting an enquiry through our website does not automatically create a contract or guarantee that we will accept the project.
Before work begins, Emeroject may provide a quotation or proposal describing the services, deliverables, estimated timeline, fees and payment schedule.
Unless otherwise stated, quotations are valid for the period specified in the quotation. If no period is specified, Emeroject may revise a quotation before the client accepts it.
A project is considered approved when the client accepts the applicable quotation or agreement and satisfies any stated initial payment or onboarding requirements.
Where a separate written agreement exists, its specific terms will apply to the relevant project. In the event of a conflict, the more specific agreed project terms will take precedence over these general terms to the extent permitted by law.
5. Pricing and Payment
All prices will be communicated in the applicable quotation, proposal or invoice. Prices may be quoted in Nigerian naira or another agreed currency.
Unless otherwise agreed in writing:
Work may begin only after the required deposit or initial payment has been received.
Subsequent payments must be made according to the agreed payment schedule.
Final deliverables, website launch, account transfer or handover may be withheld until outstanding amounts have been paid, subject to applicable law and the relevant agreement.
Additional work outside the agreed scope may attract additional charges.
Third-party costs, including domain registrations, hosting subscriptions, premium plugins, themes, licences and other paid tools, will be identified where applicable.
Clients are responsible for paying applicable bank charges, transaction fees or currency-conversion charges associated with their payments, where lawfully chargeable.
If payment is overdue, Emeroject may issue a reminder and, where permitted by the applicable agreement and law, suspend work or services until payment is received.
Any applicable taxes will be handled in accordance with the relevant law and the terms stated in the quotation or invoice.
6. Client Responsibilities
Clients agree to provide the information, materials, access credentials, approvals and feedback reasonably required to deliver the agreed services.
These may include:
Business information and website content.
Logos, photographs, videos and other brand assets.
Domain registrar, hosting or existing website access.
Product or service descriptions, pricing and contact information.
Timely feedback and approval of design drafts.
Evidence that they have the rights or permissions necessary to use supplied content.
Clients are responsible for ensuring that materials they provide are accurate, lawful and do not infringe another party’s rights.
Delays in providing materials, access or approvals may affect delivery dates. Emeroject will not be responsible for delays caused by circumstances outside its reasonable control, including client-side delays.
7. Project Scope, Revisions and Additional Work
The project scope will be defined in the applicable quotation or agreement.
The number of design revisions, the duration of support and the specific deliverables included will be determined by the selected package or agreement.
A revision means an adjustment to an agreed deliverable that remains within the original project scope. A new feature, substantial redesign, additional page, new integration or other request outside that scope may be treated as additional work.
Emeroject will communicate any applicable additional cost and obtain the client’s approval before proceeding with chargeable out-of-scope work.
Clients should review deliverables carefully and communicate requested changes within the review period specified in the project agreement.
8. Website Design and Development
Website projects will be delivered according to the agreed specifications and project scope.
Unless otherwise agreed, the client is responsible for reviewing website content, confirming the accuracy of business information and approving the final website before launch.
Website functionality may depend on third-party platforms, plugins, themes, APIs, hosting infrastructure and other services. Emeroject cannot guarantee that these external components will remain available, compatible or unchanged indefinitely.
Unless expressly included in the agreement, ongoing website maintenance, security monitoring, content updates, backups, plugin renewals and technical support are not automatically included after handover.
Clients are encouraged to maintain appropriate backups, security controls and software updates after launch.
9. Domain Registration and Renewal
Domain names are registered through third-party registrars or providers. Registration is subject to the relevant registry rules, registrar terms, domain availability and applicable policies.
Emeroject does not guarantee that a requested domain name will be available until registration is confirmed.
Domain registration does not necessarily grant ownership of a trademark or other intellectual property rights in a name.
Clients are responsible for ensuring that their chosen domain name does not unlawfully infringe another party’s rights.
Where Emeroject assists with domain registration or renewal, clients must provide accurate registration details and make renewal payments before the applicable deadline.
Failure to renew a domain on time may result in expiration, suspension, additional restoration fees or loss of the domain. Emeroject is not responsible for a domain’s expiration where the client has failed to provide required payment, information or instructions, subject to any obligations expressly agreed with the client.
Domain registration and renewal fees are subject to the applicable provider’s pricing and policies.
10. Web Hosting Services
Where Emeroject provides or arranges web hosting, the service may rely on third-party hosting providers and infrastructure.
Hosting availability, storage, bandwidth, email services, backup facilities, security features and support levels depend on the package and provider involved.
Unless a separate service agreement expressly provides otherwise, Emeroject does not guarantee uninterrupted or error-free hosting.
Clients must not use hosting services to distribute malware, conduct unlawful activities, send unauthorised bulk messages, infringe intellectual property rights, or engage in activities that threaten system security or violate provider policies.
Where a client’s use of a hosting service presents a security risk, violates applicable policies or threatens other users, Emeroject may take proportionate protective action, including restricting or suspending the affected service, subject to applicable law and any relevant agreement.
Clients should maintain independent backups of important website data unless comprehensive backup services are expressly included in their hosting package.
11. Search Engine Optimisation (SEO)
Emeroject may provide SEO services such as keyword research, on-page optimisation, technical SEO, metadata improvements, content recommendations, internal linking and website performance recommendations.
SEO results depend on numerous factors outside our control, including search engine algorithms, competition, website history, industry conditions, content quality and third-party technical changes.
Emeroject does not guarantee specific search engine rankings, first-page placement, a number-one position, a particular volume of website traffic, leads, sales or a specific timeframe for SEO results.
We will perform the agreed work using the scope and approach described in the applicable proposal or agreement.
Clients remain responsible for ensuring that their business claims, products, services and supplied content are accurate and lawful.
12. Branding, Graphic Design and Creative Services
Creative services may include logo design, brand identity, brochures, marketing materials, digital graphics, product mockups and related visual assets.
Deliverables will be provided in the formats and within the scope stated in the applicable agreement.
Unless expressly included, the following may be excluded from a creative project:
Source or editable design files.
Additional design concepts beyond the agreed number.
Paid fonts, stock images or third-party assets requiring separate licences.
Printing, manufacturing or physical production.
Additional revisions or deliverables outside the agreed scope.
Where third-party fonts, stock images, templates or other licensed materials are used, their use remains subject to the relevant licence terms.
Product mockups and visual representations are illustrative unless expressly agreed otherwise. They do not guarantee the exact appearance, quality or dimensions of a manufactured product.
13. Intellectual Property
All intellectual property rights remain with their respective owners unless ownership is lawfully transferred or otherwise agreed in writing.
Subject to full payment and any applicable third-party licence restrictions, Emeroject will provide the client with the ownership rights or usage licence specified in the project agreement for the final approved deliverables.
Unless otherwise agreed, drafts, unused concepts, internal working files, proprietary tools, development methods and pre-existing materials used to create a deliverable remain the property of Emeroject or their respective owners.
Third-party software, themes, plugins, fonts, stock assets and other licensed materials are not transferred beyond the rights permitted by their applicable licences.
Emeroject retains ownership of its website content, original marketing materials, branding, design elements and other proprietary materials, except where rights have been expressly granted or transferred.
Neither party may use the other party’s confidential information or intellectual property outside the permissions granted by the applicable agreement or law.
14. Portfolio and Promotional Use
Unless the client objects in writing or a separate agreement provides otherwise, Emeroject may request permission to display completed work in its portfolio, case studies or promotional materials.
We will not knowingly disclose confidential client information or private credentials as part of such promotional use.
Where a project is confidential, subject to a non-disclosure agreement or involves sensitive information, portfolio use will require any additional consent required by the applicable agreement or law.
15. Third-Party Services and Integrations
Our services may integrate with third-party providers, including domain registrars, hosting companies, payment processors, email platforms, analytics services, content management systems, plugins, themes and external APIs.
These providers operate under their own terms, privacy policies, pricing and service conditions.
Emeroject is not responsible for independent changes, outages, pricing increases or policy decisions made by third-party providers, except to the extent that applicable law or our own contractual obligations make us responsible.
Clients may be required to create accounts, accept third-party terms and pay separate subscription or licence fees.
16. Privacy and Data Protection
Emeroject may process personal information when visitors use our website, submit enquiries, purchase services or communicate with us.
Personal information will be handled in accordance with our Privacy Policy and applicable data protection laws.
Clients must ensure that personal data they supply to Emeroject may lawfully be shared and processed for the purposes of the agreed services.
Where a project involves access to personal data, confidential information or client systems, the parties may need to agree on additional security, confidentiality and data-processing obligations.
Please refer to our Privacy Policy for more information about how personal information is collected, used, stored and protected.
17. Confidentiality and Security
Each party should take reasonable steps to protect confidential information received from the other party.
Clients should avoid sending passwords or sensitive credentials through insecure channels and should provide only the access necessary for the agreed work.
Emeroject will use reasonable measures appropriate to the nature of the services to protect information entrusted to it. However, no online system or method of electronic transmission can be guaranteed completely secure.
Confidentiality obligations may be supplemented by a separate non-disclosure agreement or service contract.
18. Cancellations, Refunds and Termination
Cancellation requests must be submitted in writing.
If a client cancels a project after work has commenced, the amount payable will be determined by the applicable agreement, the work completed, non-refundable third-party costs and any other lawful cancellation charges expressly agreed in advance.
Any refund due will be assessed under the applicable agreement and law. No provision in these terms excludes a refund or remedy that cannot lawfully be excluded.
Recurring services, hosting subscriptions, domain registrations, premium software licences and other third-party services may be subject to separate cancellation and refund policies.
Emeroject may terminate or suspend services where the client materially breaches the applicable agreement, fails to pay amounts due, engages in unlawful activity or creates a serious security risk. Where appropriate and practicable, we will provide notice and a reasonable opportunity to remedy the breach.
Upon termination, each party must settle outstanding obligations in accordance with the applicable agreement. Access to client-owned accounts, domain names and deliverables will be handled according to the relevant ownership rights, payment obligations and contractual terms.
19. Disclaimers
Our website and general informational content are provided for general information purposes. While we aim to keep information accurate and current, we do not warrant that all website content will always be complete, accurate, available or error-free.
Unless expressly agreed in writing, we do not provide legal, tax, financial or other regulated professional advice.
Any estimates, projections, recommendations or examples are provided for their stated purpose and should not be treated as a guarantee of commercial results.
Nothing in these terms excludes a warranty, right or remedy that cannot lawfully be excluded.
20. Limitation of Liability
To the fullest extent permitted by applicable law, Emeroject will not be liable for indirect or consequential losses, loss of anticipated profits, loss of business opportunities or loss of goodwill arising from the use of our website or services, where such exclusion is lawful.
Subject to applicable law, any liability arising from a particular project will be assessed in accordance with the applicable service agreement and the circumstances of the claim.
Nothing in these terms excludes or limits liability where doing so would be unlawful, including liability that cannot lawfully be excluded or limited.
Clients should ensure that their chosen service package, backup arrangements and business continuity measures are appropriate for their needs.
21. Indemnity
To the extent permitted by law, clients are responsible for claims arising from unlawful materials they supply, their unauthorised use of third-party intellectual property, or their unlawful use of services provided by Emeroject.
Any indemnity obligation will apply only to the extent permitted by law and will be interpreted in accordance with the relevant agreement and the circumstances of the claim.
22. Force Majeure
Neither party will be responsible for a delay or failure to perform an obligation to the extent caused by circumstances beyond its reasonable control, such as natural disasters, widespread network outages, war, civil unrest, government restrictions, major infrastructure failures or significant third-party service disruptions.
The affected party should notify the other party where reasonably practicable and take reasonable steps to reduce the impact.
This clause does not excuse payment obligations that have already become due, except where applicable law or the relevant agreement provides otherwise.
23. Changes to These Terms
Emeroject may update these Terms and Conditions from time to time to reflect changes in our services, business practices or legal requirements.
The latest version will be published on this page with an updated revision date.
Changes will apply from the stated effective date, subject to applicable law and existing contractual commitments. Material changes to an existing client agreement may require separate notice or agreement where required.
24. Governing Law and Dispute Resolution
These Terms and Conditions will be governed by the laws of the Federal Republic of Nigeria, subject to applicable mandatory legal requirements.
If a dispute arises, the parties should first attempt to resolve it through good-faith discussions.
Where a dispute cannot be resolved informally, it may be referred to a court of competent jurisdiction in Nigeria, unless the parties have agreed to another lawful dispute-resolution process.
Nothing in this clause prevents either party from exercising a legal right or remedy that cannot lawfully be restricted.
25. Severability and Waiver
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
A failure or delay by either party to enforce a provision does not automatically waive that party’s right to enforce it later.
26. Entire Agreement
These Terms and Conditions govern general use of the Emeroject website and the services to which they apply.
A separate quotation, proposal, order form or signed service agreement may contain additional terms for a specific engagement. Where there is a conflict, the specific agreed terms will take precedence for that engagement to the extent stated in the agreement and permitted by law.
